Terms of Use

These Terms of Use ("Terms") govern your use of the VesselFile mobile application, website, and related services (the "Service") provided by Techlogic Advisors, LLC ("VesselFile", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Plain-English summary: Use it for its intended purpose, don't abuse it, your records are yours, we make no warranty that the information you log will be accurate or complete, and either of us can end the relationship at any time.

1. Eligibility

You must be at least 13 years old (or 16 where required by local law) to use the Service. You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

2. The Service

VesselFile is a personal logbook tool intended for recreational power-boat owners to record vessel, equipment, and maintenance information. It is not a regulatory record, certified inspection report, or substitute for the advice of a marine professional.

3. Your content

You retain all rights to the records, photos, notes, and other content you upload (your "Content"). By using the Service you grant us a limited, worldwide license to host, store, transmit, display, and back up your Content solely for the purpose of operating and providing the Service to you and to anyone you choose to share with.

You are solely responsible for your Content and for ensuring that you have the right to upload and share it (for example, photos taken by others, or contact information for third parties).

4. Acceptable use

You agree not to:

Use the Service to violate any law or third-party right;
Upload content that is illegal, harassing, infringing, or harmful;
Attempt to access another user's account or data without permission;
Reverse-engineer, scrape, decompile, or interfere with the Service or its security mechanisms;
Use the Service to send spam, malware, or unsolicited communications;
Resell or commercially redistribute the Service without our consent.

5. Subscriptions and payments

Some features are offered as paid subscriptions. Subscriptions auto-renew unless you cancel before the end of the current term.

Who you are buying from

This depends on where you buy:

In the app, on iOS or Android — Apple or Google is the seller. Billing, renewal, refunds and cancellation are governed by that platform's terms in addition to these Terms, and you cancel in your platform account settings.
On the web — Stripe is the seller. Stripe acts as merchant of record through Link, which means Stripe takes the payment, issues your receipt and invoice, handles any VAT or sales tax, and provides support for the transaction itself. Your receipt will say Sold through Link rather than VesselFile. You cancel from the billing page in your account, and we can still refund you or change your subscription.
Web subscriptions bought before 7 November 2026 were sold directly by Techlogic Advisors, LLC. If that is you, your receipts come from us and nothing about your subscription changes.

Whoever sells it, VesselFile itself — the service, your records, and support for the product — remains ours, and these Terms govern it.

Prices and tax

Prices are shown before you confirm a purchase, and may be presented in your local currency. Where we are required to charge VAT, GST or sales tax, it is shown at checkout.

If you are a consumer in the EEA or the UK

You normally have 14 days to withdraw from a distance contract without giving a reason. Because the Service is a digital service that starts immediately, you expressly ask us to begin supplying it as soon as your subscription starts, and you acknowledge that you therefore lose that right of withdrawal once supply has begun.

This does not affect your statutory rights if the Service is faulty, not as described, or not supplied with reasonable care and skill. If something is wrong, email [email protected] and we will put it right or refund you.

6. Third-party services

The Service relies on third-party providers for hosting, authentication, storage, email, payments and push notifications. The current list, and what each one does, is in our Privacy Policy.

The Service is not endorsed by or affiliated with any boat, engine, or equipment manufacturer mentioned in the Service.

7. Account termination and deletion

You can delete your account at any time from inside the app under Profile → Delete account. Doing so permanently removes your Content from the Service.

We may suspend or terminate your account if you violate these Terms, fail to pay fees due, or if continued provision of the Service to you presents a security or legal risk. We will give reasonable notice unless immediate action is necessary.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. RECORDS YOU CREATE IN THE SERVICE ARE FOR YOUR PERSONAL REFERENCE; YOU ARE RESPONSIBLE FOR VERIFYING THEM AND FOR ANY DECISIONS BASED ON THEM.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHLOGIC ADVISORS, LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.00.

10. Indemnification

You agree to defend, indemnify, and hold harmless Techlogic Advisors, LLC and its affiliates from any claim, demand, or damages, including reasonable attorneys' fees, arising out of (a) your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts. You and we each agree to waive the right to a jury trial to the extent permitted by law.

If you are a consumer in the EEA or the UK

The paragraph above does not apply to you in a way that takes away rights you cannot be deprived of by agreement. Nothing in these Terms removes the protection of the mandatory consumer law of the country where you live, and you may bring proceedings in the courts of that country. We will bring any proceedings against you there too.

If you are in the EU, you may also use the European Commission's Online Dispute Resolution platform, though we would rather you emailed us first and gave us the chance to fix the problem.

12. Apple App Store additional terms

If you use the Service on an Apple device, you acknowledge:

These Terms are between you and Techlogic Advisors, LLC, not with Apple. Apple is not responsible for the Service or its content.
Apple has no obligation to provide maintenance or support for the Service.
Apple is a third-party beneficiary of these Terms and may enforce them against you.
Your use of the Service must comply with the Apple Media Services Terms and Conditions.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where required, notified to you in the app or by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
