Terms of Use

These Terms of Use ("Terms") govern your use of the VesselFile mobile application, website, and related services (the "Service") provided by Techlogic Advisors, LLC ("VesselFile", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Plain-English summary: Use it for its intended purpose, don't abuse it, your records are yours, we make no warranty that the information you log will be accurate or complete, and either of us can end the relationship at any time.

1. Eligibility

You must be at least 13 years old (or 16 where required by local law) to use the Service. You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your password and for all activity under your account.

2. The Service

VesselFile is a personal logbook tool intended for recreational power-boat owners to record vessel, equipment, and maintenance information. It is not a regulatory record, certified inspection report, or substitute for the advice of a marine professional.

3. Your content

You retain all rights to the records, photos, notes, and other content you upload (your "Content"). By using the Service you grant us a limited, worldwide license to host, store, transmit, display, and back up your Content solely for the purpose of operating and providing the Service to you and to anyone you choose to share with.

You are solely responsible for your Content and for ensuring that you have the right to upload and share it (for example, photos taken by others, or contact information for third parties).

4. Acceptable use

You agree not to:

Use the Service to violate any law or third-party right;
Upload content that is illegal, harassing, infringing, or harmful;
Attempt to access another user's account or data without permission;
Reverse-engineer, scrape, decompile, or interfere with the Service or its security mechanisms;
Use the Service to send spam, malware, or unsolicited communications;
Resell or commercially redistribute the Service without our consent.

5. Subscriptions and payments

Some features may be offered as paid subscriptions. If you purchase a subscription through the Apple App Store or Google Play, billing, renewal, refunds, and cancellation are governed by the applicable platform's terms in addition to these Terms. Subscriptions auto-renew unless you cancel before the end of the current term in your platform's account settings.

6. Third-party services

The Service relies on third-party providers (including Supabase for hosting, authentication, and storage). The Service is not endorsed by or affiliated with any boat, engine, or equipment manufacturer mentioned in the Service.

7. Account termination and deletion

You can delete your account at any time from inside the app under Profile → Delete account. Doing so permanently removes your Content from the Service.

We may suspend or terminate your account if you violate these Terms, fail to pay fees due, or if continued provision of the Service to you presents a security or legal risk. We will give reasonable notice unless immediate action is necessary.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF DATA. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. RECORDS YOU CREATE IN THE SERVICE ARE FOR YOUR PERSONAL REFERENCE; YOU ARE RESPONSIBLE FOR VERIFYING THEM AND FOR ANY DECISIONS BASED ON THEM.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TECHLOGIC ADVISORS, LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.00.

10. Indemnification

You agree to defend, indemnify, and hold harmless Techlogic Advisors, LLC and its affiliates from any claim, demand, or damages, including reasonable attorneys' fees, arising out of (a) your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.

11. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. Any dispute relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts. You and we each agree to waive the right to a jury trial to the extent permitted by law.

12. Apple App Store additional terms

If you use the Service on an Apple device, you acknowledge:

These Terms are between you and Techlogic Advisors, LLC, not with Apple. Apple is not responsible for the Service or its content.
Apple has no obligation to provide maintenance or support for the Service.
Apple is a third-party beneficiary of these Terms and may enforce them against you.
Your use of the Service must comply with the Apple Media Services Terms and Conditions.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date and, where required, notified to you in the app or by email. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
